Terms of Use

1. Agreeing to these terms

• By creating an account, uploading anything, or leaving feedback, you agree to these terms and to the Privacy notice, which is part of them. If you do not agree, do not use Pinfinch.
• You must be at least 18 years old.
• If you use Pinfinch for an organization, you confirm you are allowed to accept these terms for it, and “you” includes that organization.

2. What the service is

Pinfinch lets account holders upload website mockups, share them through a link, and collect comments, marks and screenshots on them. It is offered as an early, evolving service. Features may change, pause or stop at any time.

3. Accounts

• Accounts are by invitation only. Keep your password private and do not share your account.
• You are responsible for everything done through your account. Tell us at legal@pinfinch.com right away if you think someone else has used it.
• Administrators can invite, disable and reset access to accounts. We may suspend or close an account at any time, as described in section 11.

4. Reviewers

• Reviewers do not need an account. You enter a name and agree to these terms before you can comment.
• Your name, comments, replies, marks, any screenshot you attach, and basic device details are visible to the person who shared the review with you. Your name, comments and replies can be seen by anyone who has the same link.
• Do not include passwords, payment details, health information, government identifiers, or anything else sensitive in your feedback. Do not share anything you are not allowed to share.

5. Your content and your rights to it

• “Content” means anything you upload or submit: mockups, files, names, comments, replies, marks and screenshots. You keep ownership of your content.
• You give us a worldwide, non-exclusive, royalty-free license to store, copy, process, display and transmit your content only as needed to run, secure and improve Pinfinch. This license ends when the content is deleted, except for copies kept briefly in routine operations or where the law requires.
• When you leave feedback, you also give the person who shared the review a non-exclusive, perpetual, royalty-free license to use that feedback for their project.
• You promise that you have every right needed to upload or submit your content, and that it does not break any law or anyone else's rights, including copyright, trademark, privacy and confidentiality.
• You are solely responsible for your content. We do not review content before it is shared and we are not responsible for it.

6. Share links

• A share link is unlisted, not secret. Anyone who has it can open the review. Share links only with people you trust.
• We are not responsible for what happens when a link is shared, forwarded or published, by you or by anyone else.
• Account holders can delete a review at any time, which turns its link off.

7. What you must not do

You must not use Pinfinch to, or try to:

• upload or link to malware, harmful code, or anything designed to damage or take control of devices or accounts;
• collect passwords, payment details or other personal information, including through fake sign in or payment forms (phishing);
• share content that is illegal, infringing, defamatory, obscene, hateful, harassing or threatening, or that exploits or harms minors;
• share other people's personal information without the right to do so;
• get around, probe or test our security, access anything you are not allowed to, or interfere with other users;
• overload the service, use it to send spam, or scrape, copy or resell it without our written permission;
• impersonate anyone, or misrepresent who you are or who you work for;
• break any law or regulation.

8. Mockups can contain code

Mockups are shown in an isolated area kept apart from Pinfinch itself, but a mockup is made by whoever uploaded it and may contain scripts, links and forms. We do not control or vouch for anything inside a mockup. Never type real passwords, payment details or other private information into a mockup.

9. How long things are kept

• Review links last 90 days. After that the review, its comments and its files are deleted.
• We may delete content sooner, for example if a review is deleted, an account closes, or these terms are broken.
• We do not promise to keep backups of your content. Keep your own copies of anything you need.

10. Reporting problems and takedown requests

To report content that breaks these terms or infringes your rights, email legal@pinfinch.com with the share link, what the problem is, and how to reach you. For a copyright complaint, also identify the work, state that you believe in good faith the use is not authorized, state that your notice is accurate and that you are the owner or authorized to act for the owner, and sign it. We may remove content and tell the person who uploaded it.

11. Removing content and suspending access

We may remove any content, turn off any share link, or suspend or close any account at any time, with or without notice, if we believe these terms were broken, the law requires it, or it is needed to protect Pinfinch, its users or anyone else.

12. Other services we rely on

Pinfinch runs on outside providers for hosting, file storage, the database and email. We are not responsible for their outages or failures, and your use of Pinfinch may also be subject to how they operate.

13. Changes

We may change Pinfinch or these terms at any time. When the terms change in a way that matters, the version number above changes and you will be asked to agree again before you continue. If you do not agree to the new terms, stop using Pinfinch.

14. No warranties

Pinfinch is provided “as is” and “as available”. To the fullest extent the law allows, we make no promises of any kind, express or implied, including that it will be available, uninterrupted, secure, error free, or fit for any purpose, and we disclaim all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. You use Pinfinch at your own risk.

15. Limits on our liability

• To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business, even if we were told they were possible.
• To the fullest extent the law allows, our total liability for any claim about Pinfinch or these terms is limited to the greater of the amount you paid us for Pinfinch in the 12 months before the claim, or 50 US dollars.
• Some places do not allow some of these limits. Where that is so, they apply only as far as allowed.

16. Your responsibility to us

You agree to defend and indemnify us, and to hold us harmless, against any claim, loss, liability, cost or expense (including reasonable legal fees) that comes from your content, your use of Pinfinch, your breaking these terms, or your breaking any law or anyone else's rights.

17. Ending your use

You can stop using Pinfinch at any time. Account holders can delete their reviews and ask us to close their account at legal@pinfinch.com. Sections 5, 9, 14, 15, 16, 18 and 19 continue to apply after your use ends.

18. Governing law and disputes

These terms are governed by the laws of the State of Washington, USA, without regard to its conflict of law rules. Before starting any formal claim, you agree to email legal@pinfinch.com and give us 30 days to try to resolve it informally. Any claim must be brought in the state or federal courts located in Whatcom County, Washington, and you agree to their jurisdiction, except that either side may use small claims court where it qualifies.

19. General

• These terms and the Privacy notice are the whole agreement about Pinfinch between you and us.
• If any part of these terms cannot be enforced, the rest still applies. If we do not enforce something, we have not given up the right to.
• We may transfer these terms, for example to a company formed to run Pinfinch. You may not transfer them without our written permission.
